# Pricing

One meter. You pay in credits, a unit like the tokens AI models charge in, for what the AI actually does. Every use case and every channel draws from the same pool, and there are no platform, maintenance or infrastructure fees on top.

- **On-Demand.** No commitment. Invoiced monthly, for what you used.
- **Annual Commit.** 12 months at 30% off the On-Demand price. The annual minimum is invoiced a year in advance.
- **Strategic Commit.** 36 months at 50% off. The annual minimum is invoiced a year in advance, each year.

Prices don't include sales tax or VAT; we add them where we have to. Customers in the EU sign with Mindsmiths d.o.o. and pay in euros.

## What a credit buys

What typical activities use, from our deployments (approximate; more complex setups use more). Your dashboard always has the current figures, and while your term runs, the same work won't start using more credits.

## What's included

- **The dashboard.** Every plan. Usage and sessions, as they happen.
- **Onboarding.** On committed plans, we support your team through the first 30 days.
- **An account manager.** On committed plans, one of your own.

Not included: channel costs, such as SMS and WhatsApp fees, which stay with you; custom integrations beyond our standard connectors; and moving data over.

## How credits work

- Committed credits arrive monthly, one twelfth of the year. Unused credits expire at the end of each month.
- Use above your commitment is billed at the On-Demand rate.
- Plans stack. Add another whenever we both agree in writing; it keeps its own term and price, and its credits add to yours while both run.
- Credits are pooled across your projects, so each business unit can run its own use case.

## Billing

- **Invoices.** On-Demand is invoiced monthly, for what you used. Committed plans pay the annual minimum a year in advance, and anything above it monthly. Invoices are due within 30 days.
- **Paying late.** 1.5% a month, or less where the law caps it, plus what it costs us to collect. If an invoice is still unpaid 15 days after we've written to you, we can pause access until it's paid.

## Renewing, switching and stopping

- **Renewing.** A committed plan renews for the same length, on that plan's terms at the time, unless one of us gives 30 days' notice before it ends. The dashboard reminds you 60 days ahead.
- **Switching.** You can move to another plan for the next term, with 30 days' notice before the current one ends.
- **Stopping.** A committed plan runs its full term. Neither side can walk away early just because it wants to; a breach is different, and so is uptime that falls short (see the [Service Level Agreement](/service-level-agreement)). On-Demand can be stopped by either side with 30 days' notice.

If you stop, your data goes with you. You have 30 days to export it, free. Then we delete it from our systems within 30 days and from backups within 90, and confirm it in writing.

## The pricing terms

Our standard pricing terms follow, word for word. Your order form prevails over them, and over everything above.

This page sets out the standard Plans and commercial terms on which Mindsmiths, Inc. licenses the Mindsmiths Platform. You pay in Credits for what the Platform actually does, across any use case and Channel, from one Credit pool; there are no platform, maintenance or infrastructure fees on top. Capitalised terms have the meanings given in the Terms of Service (www.mindsmiths.com/terms-of-service). The Plan and commercial terms applicable to a Customer are those recorded in the Order Form of its Platform License Agreement, which prevails over this page.

1. **Plans.** The Platform is licensed under one of the following Plans, as recorded in the Order Form of the Platform License Agreement:

Customers based in the European Union contract with Mindsmiths d.o.o. and pay in euro.

All prices are stated exclusive of sales, use, value added and similar transaction-based taxes, which are invoiced additionally where Mindsmiths is required to collect them.

2. **What is included.** Every Plan includes: Dashboard: access to real-time usage monitoring and session analytics via the Platform dashboard; Onboarding: dedicated onboarding support during the first thirty (30) days following the Effective Date (Annual Commit and Strategic Commit Plans); Account management: a dedicated account manager (Annual Commit and Strategic Commit Plans).

3. **Principal commercial terms.**

Overage (where applicable) is invoiced monthly in arrears. |
| **Monthly Credit Allocation** | On committed Plans, Credits are allocated to the Customer in equal monthly tranches drawn from the contracted Annual Credit Allocation. Unused monthly Credits expire at the end of each calendar month and are non-transferable between billing periods. |
| **Overage** | Credits consumed in excess of the Monthly Credit Allocation shall be invoiced at the On-Demand Price per Credit. |
| **Additional Plans** | The Customer may purchase additional Plans at any time, subject to written agreement of the Parties. Each Plan runs concurrently for its own Term Commitment, retaining its own Price per Credit and Annual Minimum Commitment. The Monthly Credit Allocations of overlapping Plans are cumulative for the duration of the overlap: the Customer's total Monthly Credit Allocation equals the sum of the Monthly Credit Allocations of all Plans active in that month. Upon expiry of any individual Plan, its Monthly Credit Allocation ceases and the Customer's total allocation reduces accordingly. |
| **Plan Change** | The Customer may elect to change Plan with effect from commencement of the next Term Commitment, upon not less than thirty (30) days' written notice to Mindsmiths prior to expiry of the then-current Term Commitment. |
| **Renewal** | Upon expiry of the Term Commitment, this Agreement shall automatically renew under the same Plan, for a further Term Commitment of equal duration and on the terms applicable to that Plan at the time of Renewal, unless either Party terminates in accordance with the Cancellation clause below, or the Customer has given notice of a Plan Change in accordance with the Plan Change clause above. Mindsmiths shall notify the Customer in the Platform dashboard at least sixty (60) days before expiry of the then-current Term Commitment. |
| **Cancellation** | Either Party may terminate this Agreement with effect from expiry of the then-current Term Commitment by giving not less than thirty (30) days' written notice prior to such expiry, in which case the Agreement shall not renew. Neither Party may terminate for convenience during a Term Commitment. Under the On-Demand Plan, where no Term Commitment applies, either Party may terminate for convenience at any time upon thirty (30) days' prior written notice. This clause is without prejudice to either Party's rights of termination for cause. |
| **Late Payment** | Overdue amounts shall accrue interest from the due date until paid in full at one and one-half per cent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower. The Customer shall reimburse Mindsmiths for all reasonable costs of collection, including reasonable attorneys' fees. Where any amount remains overdue for more than fifteen (15) days after written notice, Mindsmiths may suspend the Customer's access to the Platform until payment in full; suspension does not relieve the Customer of its payment obligations. The foregoing is without prejudice to any other remedy available to Mindsmiths. |
| **Exclusions** | For the avoidance of doubt, scope of Mindsmiths Platform services does not include: Channel delivery costs (e.g., SMS, WhatsApp, e-mail termination fees) charged by third-party providers; Custom integrations beyond the standard connectors; Data migration services; Any services not expressly included herein or in the Agreement. |
